Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by SMARTTEAM DIGITAL SERVICE LLC, a Limited Liability Company registered in the State of New Mexico, USA (“Company,” “we,” “us,” or “our”).

1. Services

We provide marketing consulting, Shopify and e-commerce support, TikTok Shop management, social media management, paid advertising, book and author marketing, and website design services. The specific scope, deliverables, timeline, and fees for each engagement are set out in a written proposal, statement of work, or service agreement.

2. Acceptance of Terms

By engaging our services, signing a proposal, or making a payment, you agree to these Terms. If you do not agree, please do not use our services.

3. Client Responsibilities

Clients agree to provide timely access, accurate information, content, brand assets, and approvals necessary for us to perform the services. Delays caused by incomplete or late client input may extend timelines and may affect project delivery.

4. Payments and Fees

Fees are set out in the applicable proposal or agreement. Invoices are due on the date stated unless otherwise agreed. Late payments may result in paused work. We reserve the right to charge interest or fees on overdue amounts where permitted by law.

5. Intellectual Property

Upon full payment, clients receive ownership of final deliverables specifically created for them, to the extent possible under applicable law. We retain ownership of pre-existing materials, templates, processes, tools, and general know-how. Third-party assets remain subject to their original licenses.

6. Confidentiality

Both parties agree to keep confidential business information disclosed during the engagement private, except as required by law or with the other party’s written consent.

7. Limitation of Liability

To the fullest extent permitted by law, our liability is limited to the amount paid for the specific services giving rise to the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.

8. Termination

Either party may terminate an ongoing engagement with written notice as specified in the service agreement. Termination does not relieve the client of payment obligations for work completed or expenses incurred prior to termination.

9. Governing Law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in New Mexico.

10. Changes to These Terms

We may update these Terms from time to time. The current version will be posted on our website with the effective date. Continued use of our services after changes constitutes acceptance of the revised Terms.
